Registered Office:13 Adelaide Road, Dublin, D02 P950 Company No.:796820 Contact:Yaromyr Farada info@synthesis-ivdivo.com 1) IMPORTANT NOTICE — READ CAREFULLY This Terms of Use & Participation Agreement (the “Agreement”) is a legally binding contract between you (“you”, “your”, “Participant”, “User”) and Synthesis IVDIVO Ltd regarding: your access to and use of our websites, pages, and online services (the “Site”); and your registration for, attendance at, or participation in any Synthesis IVDIVO activity or offering, including but not limited to seminars, webinars, lessons, trainings, courses, retreats, meetings, memberships/communities, recordings, downloadable materials, and other events or programs (each a “Program”, collectively “Programs”). This Agreement affects your legal rights. Please read it carefully. 2) ACCEPTANCE — CHECKBOX, E-SIGNATURE, AND SITE USE (IMPLIED CONSENT) You agree to this Agreement when you do any of the following: access, browse, or use the Site; register for or purchase any Program; check a box stating you agree; electronically sign; or attend/participate in a Program after being given reasonable access to this Agreement. If you do not agree, do not use the Site and do not register for or participate in any Program. For purchases/registrations, we strongly rely on “clickwrap” consent (checkbox/e-signature). Accessing the Site may also constitute acceptance where legally permitted and where notice is provided. 3) CHANGES TO THIS AGREEMENT We may update this Agreement from time to time by posting the updated version on the Site with a new Effective Date. Continued use of the Site or participation in Programs after changes become effective constitutes acceptance of the updated Agreement, to the extent permitted by law. If you do not accept the updated Agreement, your remedy is to stop using the Site and discontinue participation. 4) AGE REQUIREMENTS Unless a specific Program states otherwise in its description: Minimum age is 18. If a Program allows minors, a parent/legal guardian must provide consent and may be required to be present or supervise. You represent that you have legal capacity to enter into this Agreement and comply with its terms. 5) PROGRAM NATURE — EDUCATIONAL / PHILOSOPHICAL / SPIRITUAL (NOT MEDICAL) Synthesis IVDIVO Programs may include education, lectures, discussions, contemplative practices, meditations, visualization, reflective exercises, worldview frameworks, and related methods and materials (the “Synthesis Materials”). No Medical / No Psychotherapy / No Treatment. Our Site and Programs are provided for educational, philosophical, and spiritual-development purposes only and are not medical care, psychotherapy, counselling, diagnosis, or treatment. We do not provide medical or mental health services. Results vary by individual. You must consult qualified professionals (physicians, licensed mental health clinicians, legal/financial professionals) for matters requiring professional advice. We do not replace professional care. 6) VOLUNTARY PARTICIPATION — SELF-RESPONSIBILITY Participation is voluntary and undertaken at your own discretion. You acknowledge and agree that: all practices are optional unless clearly stated as mandatory for a specific Program format; you may pause, modify, or stop any practice at any time; you are solely responsible for your physical condition, mental state, environment, and choices during and after participation; and you will use reasonable judgment and self-care. 7) SAFETY, HEALTH ELIGIBILITY, AND DUTY TO DISCLOSE Some Programs may be intensive (including extended meditation sessions, breathwork, emotional processes, or physically demanding practices). Such practices can provoke strong emotional or physical responses. 7.1. Medical and mental health suitability You agree that you are responsible for evaluating whether participation is appropriate for you. If you have concerns or relevant history (including panic attacks, psychosis, bipolar episodes, severe depression, PTSD, seizures/epilepsy, serious cardiovascular conditions, or pregnancy), you agree to consult a qualified professional before participating and to adjust or avoid practices as needed. 7.2. We may refuse or modify participation for safety We reserve the right, acting reasonably and for safety, to: refuse or restrict participation; require modifications; request a written medical clearance for intensive Programs; or ask you to leave an in-person venue or remove you from an online session if your participation creates a safety risk, violates rules, or materially disrupts others. 7.3. Emergency disclaimer Our Programs are not emergency services. If you are in crisis or believe you may harm yourself or others, contact local emergency services immediately. 8) PROGRAM GUIDELINES AND REQUIREMENTS (WHEN APPLICABLE) Each Program may have specific rules (e.g., attendance requirements, punctuality, silence, prerequisites, preparation steps, or abstentions). Those rules will be stated on the relevant Program page or communicated in writing and are incorporated into this Agreement by reference. If you fail to comply with mandatory Program requirements, you may be removed, and refunds (if any) will be governed by the Refund Policy (Section 12), to the extent permitted by law. 9) CODE OF CONDUCT (ZERO-TOLERANCE FOR HARASSMENT) You agree to behave in a way that supports a safe learning environment. You agree not to: harass, threaten, intimidate, abuse, or discriminate; disrupt sessions, break required silence (if applicable), or interfere with others’ participation; attend while intoxicated or use illegal drugs during participation; violate applicable laws or venue/platform rules. We may remove participants who violate the Code of Conduct, with or without prior warning, depending on severity. 10) WEBSITE USE — LICENSE, PROHIBITED USES, USER ACCOUNTS 10.1. Limited license We grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Site and Synthesis Materials for personal, non-commercial use only, subject to this Agreement. 10.2. Prohibited uses You agree not to: copy, scrape, reverse engineer, or interfere with Site security or functionality; upload malware, spam, or harmful code; impersonate others or misrepresent identity; use the Site for unauthorized advertising/solicitation; violate IP rights or privacy rights of others. 10.3. Accounts and security If you create an account, you are responsible for maintaining confidentiality of login credentials and all activity under your account. 11) INTELLECTUAL PROPERTY — STRICT PROTECTION All Synthesis Materials (including teachings, methods, frameworks, texts, audio/video, graphics, and branding) are owned by Synthesis IVDIVO Ltd or licensed to us and are protected by copyright, trademark, and other laws. You may not, without our prior written consent: record, reproduce, distribute, publish, share, sell, sublicense, or create derivative works from Synthesis Materials; share Program access links, recordings, or membership content with non-authorized persons; use our materials commercially (including coaching/teaching others using our content) unless you have a written license from us. We reserve the right to enforce our IP rights, including injunctive relief and damages, where permitted. 12) PAYMENTS, REFUNDS, RESCHEDULES, AND RIGHT OF WITHDRAWAL 12.1. Pricing, taxes, and VAT Prices, currency, and applicable taxes (including VAT where required) are shown at checkout or on the Program page. For “admission to events” (including virtual events), Irish/EU VAT rules may apply depending on the nature and location of the event. Revenue +1 12.2. If we cancel a Program, you will be offered a refund, reschedule, or credit as stated in the Refund Policy. If you cannot attend, your options (refund/transfer/credit) depend on the Refund Policy and the Program type. 12.3. Nothing in this Agreement removes non-waivable consumer rights. 12.4. Digital content access Where you purchase Digital Content (recordings/materials) or immediate access to an online library, you may be asked at checkout to expressly request immediate performance/access and acknowledge how that may affect withdrawal rights, where applicable under your local consumer laws. 13) RECORDING, PHOTOGRAPHY, AND MEDIA 13.1. Our recordings We may record Programs (especially webinars) for quality, training, educational delivery, and/or promotional purposes, subject to data protection law and our Privacy Policy. 13.2. Participant recording prohibited Unless we explicitly permit it in writing, you may not record, screen-capture, photograph, or redistribute Programs or Synthesis Materials. 13.3. Event photography/filming notice and opt-out (GDPR) For in-person events we may take photographs or film for promotional purposes. Under EU/Irish data protection law, organizers may rely on legitimate interests in certain circumstances, provided notice and balancing of rights are respected. By using the Site and participating, you acknowledge that you have read our Privacy Policy. 15) NO WARRANTIES The Site, Programs, and Synthesis Materials are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, and uninterrupted availability. 16) LIMITATION OF LIABILITY (FAIR AND LEGALLY DEFENSIBLE) Nothing in this Agreement excludes or limits liability where it would be unlawful to do so. Subject to the above and to mandatory consumer protections, to the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; we are not liable for losses arising from your own choices, interpretations, or application of Synthesis Materials; our total liability for any claim related to a specific paid Program is limited to the amount you paid for that Program, unless mandatory law requires otherwise. Fairness requirement: Consumer contract terms must not be unfair or remove non-waivable rights; we intend these terms to operate within that framework. CCPC +1 17) ASSUMPTION OF RISK; RELEASE; WAIVER OF CLAIMS; INDEMNITY 17.1. Assumption of risk You understand and acknowledge that Programs may involve physical activity, breathwork, meditation, emotional processes, or other practices that can produce physical or emotional effects. You voluntarily assume all risks of participation, known and unknown, including risks arising from your own health condition, environment, or decisions. 17.2. Release and waiver (to the extent permitted by law) In consideration of being permitted to access the Site and participate in Programs, you (for yourself and, where legally permitted, your heirs and representatives) agree, to the maximum extent allowed by law, to release and waive claims against Synthesis IVDIVO Ltd and its directors, officers, employees, contractors, facilitators, volunteers, and agents arising out of or related to your participation or use of the Site and Materials. 17.3. Indemnity You agree to indemnify and hold harmless Synthesis IVDIVO Ltd and the parties listed above from claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: your breach of this Agreement; your unlawful conduct; your unauthorized distribution or commercial use of Synthesis Materials; your infringement of third-party rights. Note: This Section operates only to the extent permitted by applicable law and does not remove any non-waivable statutory protections. 18) THIRD-PARTY LINKS AND PLATFORMS The Site and Programs may include links to third-party services (payment processors, video platforms, community platforms). We are not responsible for third-party content or services, and your use is subject to those third parties’ terms. 19) SUSPENSION / TERMINATION We may suspend or terminate your access to the Site and/or participation in Programs if we reasonably believe you have violated this Agreement, including IP misuse, harassment, fraud, or security issues. Where required by law, we will provide appropriate notice. 20) GOVERNING LAW AND JURISDICTION (IRELAND) — WITH CONSUMER PROTECTIONS This Agreement is governed by the laws of Ireland. For business users, disputes shall be subject to the courts of Ireland. For consumers, the Irish law and Irish forum clause applies to the extent permitted, without prejudice to mandatory consumer protections that may allow you to bring claims in your country of residence and/or under mandatory local law. 21) DISPUTE RESOLUTION (PRACTICAL FIRST) Before filing a formal claim, you agree to contact us at [support info@synthesis-ivdivo.com with details of your concern and allow a reasonable time to respond and attempt to resolve the matter. Where available and appropriate, we may propose mediation or ADR. 22) SEVERABILITY; ENTIRE AGREEMENT; NO WAIVER If any part of this Agreement is held invalid or unenforceable, the remaining provisions remain in effect. This Agreement, together with the posted Refund Policy and Privacy Policy, forms the entire agreement between you and Synthesis IVDIVO Ltd regarding the subject matter.
